He's clearly the most loyal Decepticon and the closet thing to a friend Megatron has so why does he pass Soundwave over and over again when he picks a new 2nd?

Maybe Soundwave is happy where he is? Job satisfaction is key to motivation and loyalty.

Maybe Megatron just knows something that Starscream has what it tooks to perform well enough. Soundwave is more of a communications officer that has always been his function.

Would you want a mute to lead the troops into battle?
Soundwave's abilities and "personality" is best suited to where he is positioned as it is.

Soundwave is master survellance for Megatron and a key fighter when he has to be. That doesn't mean he's a commander or the person to lead when megatron isn't around. Second in command is someone who has demonstrated the power and ability to lead, not only follow your orders and act on your best interests--imo.

soundwave's not a guy whose skills are specialized towards leadership. he's a communications guy.

Yeah I mean think about it Soundwave is the only Decepticon Megatron would be willing to save if he was ever in danger, if it were anyother Decepticon Megatron would leave them like Breakdown when he was captured by MECH. But I think the main reason why he's not is because if he was he would have to order troops around, which means he would have to speak.

I actually think if he could talk he'd be very well-suited to lead. But it's just the fact that he's so good at what he does as an intelligence officer and he is also the very definition of a perfect soldier. He actually leads by example, though not all of the Cons on the Nemesis necessarily follow his work ethic/success/badassery. This version of Soundwave has proven to be very unique; I don't think he falls under Starscream (now that he's second in command again) in the ladder of authority, he rather falls outside the ladder itself but still under Megatron, if that makes sense (like when he always got in Starscream's way in season 1 when he was trying to kill Megatron who was in stasis). It's like as far as his rank/status goes, he could definitely be considered as a sort of co-second in command, along with Starcream, but he just doesn't have to deal with assuming leadership because he has a different job/function/skill set.

Because ninjas are never the second in command unless it's a army of ninjas. Kind of hard for your sneaky bot to be sneaky if he has to have Vehicons tagging along all the time.

He wouldn't let Starscream take Megatron off of life support, but he also knew about the Dark Energon shard that Scream pulled out and did nothing about it.

He also might have been able to save Skyquake but instead watched him die.

The impression I'm left with is either that Soundwave is loyal to such a fault that he won't (or can't) take initiative or that he will deliberately let things slide if it suits him and maybe there's no plan at all there?

What if the brief reign of Lord Starscream was Soundwave's idea of entertainment?

I see Soundwave as the true sub commander while the others are just made to think somebody else is.

It's the other way around. Megatron is Soundwave's second in command. Megatron just acts as the leader to divert attention away from this fact, along with ensuring the Decepticon leadership regime stays in power should something happen to him (I.E. when Airachnid tries to take command of the Decepticons, Soundwave bitchslaps her ass back in line just as easily as he can replay intercepted transmissions). Megatron is nothing more than a powerful, capable figurehead, it's Soundwave who really calls the shots and plays puppet master.

Soundwave is a well known con since he was pretty much megs 1st supporter so to have soundwave support you is a big deal plus soundwave could kick starscreams ass anytime he want so starscream never did anything around him without his acceptance. ( although when starscream did sneak around soundwave already knew lol )
