Well in the Botcon Movie Q & A Session with Bob Orci and Alex Kurtzman thread this is what was posted...
So one could take that as meaning both are in the movie. Though he may just have a new name. Who knows..

Blackout will be resurrected as Grindor. Same Robot, new name.

Wrong. He is not resurrected. It's just a different bot with the same alt mode. He has a different head.

Blackout is dead, Grindor is not, and it's a cheap, if unexplained decision on the part of Hasbro/the filmmakers.

in one form of novelization, the constructicons tear up one of their own to rebuild Megatron. maybe that was Grindor, and his spark is put into Blackout's mostly undamaged/slightly repaired body.

Nah, that was just a stupid rumour. Why would you show him in the trailer and then try and "keep him secret"? Besides, he has a new head.

So far, the trailers only show 1 helicopter guy.

    1. It is possible that the dead Grindor gave his parts to revive Blackout.
    2. It is possible that the dead Blackout parts were given to Grindor.
    3. It is possible that Blackout was revived and became Grindor. Maybe memory loss happens if no allspark is used or too little allspark is used so the dead come back as a new personality and are given new names. Maybe Demolishor also dies and is resurrected as Scavenger.

Why would they have 2 Decepticons of the same mold in the same movie.

    Why not?

Nobody would be having this argument if it was Thundercracker or Skywarp.

If Grindor is nearly identical to Blackout, then you can't really point at some piece of footage and go "That's definitely Blackout!"

Also, the footage we've seen is incomplete. Stuff like the car that Devastator steps on, a lot of Autobots standing around where the Fallen teleports in, Jetfire's ax, and the red coloring on Devastator's face are seen in some trailers, but absent in others. We have no guarantee what's final and what could still be unfinished. This unidentified helicopter-bot might look a bit different when we're seeing him in theaters.

Why choose to resurrect Blackout? He cannot possibly the only Decepticon who can turn into a helicopter.
Megatron is resurrected by the Allspark shard stolen by Ravage from the Diego Garcia NEST base. The only other shard is the one Sam has and it is used to revive Jetfire. After repairing Megatron, The Doctor inserts the shard into him and his chest seals. The shard becomes a part of Megatron. Nothing else is available to bring about a resurrection.
Grindor is a completely different colour. No, it can't be rust as Megatron would be completely rusted on his original parts, too. There is also no need to resurrect to Blackout. Megatron was set up to be the hight of evil in TF1, Blackout was merely a minion. I know he's become a fan favourite, but he's hardly something to be "kept secret" for the film.
