As has been mentioned in many, many threads before this one, nobody knows exactly what happened to Dion. He was originally scripted to die, but it never made it into the script. This has lead to much fan speculation over whether he could be Ultra Magnus, Ironhide, or somebody else. If you ask me, he was rebuilt into Huffer. The color schemes and bodies of the two or remarkably similar. However, Dion's fate is really left up in the air.

Rimshot But seriously, if you read the Wings Universe comics, you would see Dion survived, upgraded, and joined the Elite Guard under Magnum. They were both severely injured in battle, and Alpha Trion told Optimus he could only save one. One died, and the other became Ultra Magnus.

I was just talking with Pete from Fun Pub online and he confirmed, although it was left open in the comic, that Dion indeed died and Magnum became Ultra Magnus. At least that's the writers intent. On a personal note, I like the theory Dion was rebuilt into Huffer.
I like to believe that not everyone in Transformers gets resurrected and that Dion died, giving Optimus personal experience with loss and death.
I subscribe to this theory. Dion probably died somewhere down the line, and was beyond the point where he could be rebuilt. But then I personally don't like the idea of death being a revolving door for TFs. While you can mend bodies, you can't restore lost / extinguished Sparks.
