I can only see Overlord winning, purely because there's no macguffin to intervene. However, I really want to be proven wrong.
Considering he lost to Megatron and Galvatron several times, I'm going to say IDW Overlord gets the win. But, his death will inspire others and Overlord will eventually be hunted down while the Decepticons get repressed again for a decade or two - and Optimus comes back from the dead.
That depends on which one you're talking about. IDW Galvatron, sure. G1 Galvatron vs IDW Overlord? Debatable. That's the problem with these contests. You need to be very specific in what you're wanting because G1 Sunbow Optimus isn't G1 Marvel Optimus isn't Dreamwave's OPtimus isn't IDW's Optimus isn't Animated Optimus isn't Prime Optimus isn't Combiner Wars Optimus, etc. ,etc. They all have varying power levels. The same goes for all the differing Galvatrons and Megatrons. Overlord really only gets two or three comparable variations - G1 and IDW are night and day different.
If this is a regular Overlord, Phase-Sixer or not, Optimus Prime at his best would take the win. Optimus was struggling against another Phase-Sixer, Sixshot. He also got humiliated alongside Magnus and a whole army of troops against Black Shadow. However, Optimus Prime has routinely defeated Megatron who is Overlord's superior. But composited characters all-around? Megatron was more damaged from fighting Optimus Prime at the Battle of Autobot City than he was from an explosion powerful enough to throw Cybertron from Earth's orbit. Optimus is Thor or He-Man as a robot and people should pay more attention to his actual feats of strength and power instead of assuming he's just a red truck with legs. On the other hand, Optimus would almost certainly lose to Overlord as a Godmaster thanks to chokon power or whichever super life energy it was. Overlord in the Masterforce series was comparable to God Ginrai. And God Ginrai was, along with Brave Maximus, able to destroy a supermassive black hole that ate dozens or nearby star and they blew it up with only a fraction of their normal energy. And then they reenergized themselves with the explosion of the black hole that they caused. And Black Zarak created that black hole. Overlord tended to get the stepchild treatment when he faced Ginrai, Maximus or Zarak but if he's even close to the power of any of them he's way above Optimus Prime. Without the Matrix, anyway. With the Matrix? Optimus Prime, based on its huge range of effects, power output and versatility. Optimus Prime using the Matrix > Godmaster Overlord > Optimus Prime >=< Phase-Sixer Overlord > Overlord
The only Overlord incarnation I'm familiar enough with is the IDW version, so putting him up with Optimus from the same universe... I'd say that Optimus would win. Overlord couldn't defeat Megatron here, whereas Optimus has. The only thing that puts Overlord at an advantage, I think he's more of a skilled fighter than Optimus? However, Optimus is more than likely a lot more resilient, especially with the power of the Matrix (And that's if we're talking about him while he still has it)
