I don't have this guy and was almost going to plan on getting him, till I came to that realization.

I got the Reprolabels Blackout upgrade kit for $2 and painted Skorponok myself with $4 worth of Testors.

Until we can find a genuine picture of an opened Hasbro Premium Blackout we cannot really do an accurate comparison of both limited editions. I do not see why Hasbro would buy a different paint application.
Personally, Though the metallic color and decor of the Lawson's Blackout looks really realistic and cool in alt mode, the robot mode has too much light gray, which is very innacurate to the movie, where the colors were mostly black or dark gray. I wished that the Blackout figure had black/ dark gray handed like he does in the movie. Having bright colors on this military vehicle make little sense to me.

In a practical sense, there really is no difference. From what I can see in the paint applications, I think that no two Premium Series Blackouts are alike because there seem to be random paint variations, like some may have more silver than the other or Scroponok may have more black paint randomly applied.. The same thing can be said for the Takara Lawson Blackout. I will not open the toys because I would rather keep the toys MISB as a collector. Also, it is worth keeping the Takara Lawson Blackout MISB because the package would be the only way to tell the versions apart.
