    It's funny that they will go after 3rd party stuff but not the g1 ko's that some dealrs have been trying to sell.

    Yea, I found it a little funny that one dealer wasset up directly in front of the Club Store selling nothing but G1 KO's.

    Yeah, I REALLY feel like this should be frontpaged depending on how extreme they are going to go...if it's just things like CMHS copies that's one thing, but if we're talking iGear, Fansproject, Maketoys etc that's a whole other matter.

    From the Botcon Exhibitors Terms and Conditions (available once you start the registration process):

    "4. Booth Space-Each Exhibitor shall maintain its merchandise only within its leased space and shall keep that space in a neat and clean condition. No Exhibitor shall attach any of its tables, fixtures or materials to the walls, ceiling, woodwork, or floors in the building. Set-up and tear down times will be strictly enforced. Exhibitors agree to have their booth/table open during all hours the sales room is open. Exhibitors agree not to begin tear down until after show closes on Sunday at 3:30 pm. Assignment of booth space will be at the discretion of the Promoter. Exhibitors agree to display at least 50% Transformers, Robots, Sci-Fi or Transformers related items. No Exhibitor is to offer for sale any pornographic material, contraband, stolen goods, items that infringe on any third party rights, or items which are illegal to own, possess or sell under federal, state or local law (regardless of whether the exhibitor had knowledge thereof). Promoter reserves the right to order the removal of any item that in its opinion is in bad taste or does not conform to these rules and regulations. Promoter and its designees, including Hasbro, Inc., each reserves the right to ban or deny entry or continued participation to any Exhibitor for any reason. Exhibitor agrees to leave the premises when requested without incident. Promoter and its designees, including Hasbro, Inc., each reserves the right to ban or deny display of any item for any reason. Promoter and its designees, including Hasbro, Inc., each reserves the right to confiscate any items that violates these rules and regulations. Exhibitor agrees to permit such confiscation without incident and agrees that all confiscated items shall become the property of Promoter or its designee and may be turned over to the appropriate authorities. Exhibitor herby waives and all claims against the Promotor or Hasbro, Inc. with respect to any removal of person or confiscation of items. Promoter reserves the right to refuse any Exhibitor application. The reasons for refusal need not be disclosed to the applicant."

    I think the statement, "items that infringe on any third party rights" means items being negative towards a race of people, or a religion, or people with different sexual orientations.

    No. In this case, Third Party means Hasbro or their liscensees. FunPub is the First Party in this case, as the promoter, and the exhibitor is the Second Party here.

    kinda left to interpretation and seemingly vague. I wonder if the Promoter and Hasbro part in being able to do stuff against has been in past EULAs.

    I guess my question would be Sidecutter, is it going to have you leaving 3rd Party stuff back at your shop? Or will you bring stuff to your booth? AFAIK the only groups that actually repro'd any symbols were CHMS KO's and the iGear Seekers, or am I forgetting some?

    My question to dealers who have been at Botcon (or Joecon) in the past, what did the dealer contract say at this point? It's a general point covering counterfeits and other illegal material so it would have been there before, I want to just get my head around if this is a new, stronger wording to cover third party material.

    Not resisting the possibility of getting the word out, but I would like to know precisely what we are reading.

    That's the actual problem here, we don't know. The language we have here is so broad it makes the side of a barn look too small to drive a motorcycle through. This could literally cover anything from "It's a dump truck with a robot mode" to "direct copy of a toy with emblems stamped on the sides".

    It also gives an equally large range of action for them, with no clear escalation steps or process for how things will be handled. The way it is written, they might walk up to you and say "We feel that these Hercules robots are an infringement, would you please put them under the table and stop selling them?" to "Hi, listen, we're just going to wheel this shopping cart up to your table, pile thousands of dollars worth of Hercules into it, and walk away. Have a nice convention!". Even worse, the way it reads, they would have every right to walk the dealer floor after it closes for the night, remove anything they choose from the booths, and BAM, in you walk the next morning and masses of your merchandise have vanished.

    And these giant gaping holes appear to be open to both Hasbro and FunPub equally.

    This really needs clarification, which Brian has not provided so far, and which I severely doubt he will, based on past experience.


    The problem is, the older dealer contracts are no longer accessible, so I can't compare them to see how much this has changed.

    OK, I managed to dig up a few of them where the paper forms were still on the year's page. I'll look to see if I have any others in paper form...and...apologies for the wall of text coming. I'm going to make it tiny text to be less obnoxious, so copy/paste to Word or Notepad to read it.

    All three years here, from the paper forms, seem to be identical. I can't tell if this new agreement came about with the online registration, or just this year. The wording here is VERY different from the current wording, and does NOT include truck-sized legal loopholes.


    Rules and Regulations for the
    2005 International Hasbro Transformers® BotCon® Convention
    1. Indemnification-Exhibitor agrees to indemnify and hold harmless Fun Publications, Inc.
    (d.b.a. The Transformers® Collectors’ Club hereafter referred to as “PROMOTER”) Hasbro,
    Inc. and Embassy Suites Dallas-Frisco for any and all losses, injuries, defects, damages, or
    other claims arising out of or connected with the leased space or grounds utilized in the show
    including the booth space, any exhibit in such space, display area, entrance areas, parking
    areas, rest rooms, etc., or any sale of service or merchandise at the show. Promoter will not
    be responsible for any injuries or damages to Exhibitor or third parties caused by any product
    sold, offered, or otherwise exchanged by Exhibitor, or activities. Should this application
    (offer) be accepted by Promoter in writing (acceptance), the terms and conditions contained
    herein shall constitute the “Contract” between Promoter and Exhibitor. This document constitutes
    the entire agreement between Promoter and Exhibitor. Other verbal or written representations
    made by Promoter are null and void unless incorporated herein in writing. Promoter’s
    whole obligation to Exhibitor is to provide to said Exhibitor the contracted Exhibit space.
    Promoter is not responsible for providing any customers, buyers, viewers or the like to
    Exhibitor. Promoter will use all reasonable efforts in promoting the convention. Promoter in
    no way guarantees Exhibitor any sales or profits in connection with Exhibitor’s participation
    with the convention.
    The Exhibitor assumes all responsibility for any and all loss, theft or damage to Exhibitor’s
    displays, equipment and other property while on Embassy Suites Dallas-Frisco premises, and
    hereby waives any claim or demand it may have against Embassy Suites Dallas-Frisco or its
    affiliates or Promoter arising from such loss, theft or damage. In addition the Exhibitor
    agrees to defend (if requested), indemnify and hold harmless Fun Publications, Inc., Hasbro,
    Inc. and Embassy Suites Dallas-Frisco and their respective parent, subsidiary and other related
    or affiliated companies from and against any liabilities, obligations, claims, damages, suits,
    costs and expenses, including, without limitation, attorneys’ fees and costs, arising from or in
    connection with the exhibitor’s occupancy and use of the exhibition premises or any part
    thereof or any negligent act, error or omission of the exhibitor or its employees, subcontractors
    or agents.
    2. Subletting-No subletting or sharing of tables/booth space is permitted without the express
    written approval from the Promoter.
    3. Sales Tax-Each Exhibitor is responsible for collecting applicable sales tax. Sales tax for
    Frisco, is 8.25%. Each Exhibitor must have a valid TX State Tax ID. The collection and payment
    of sales tax is the sole responsibility of Exhibitor. Promoter has no obligation whatsoever to
    collect or pay sales taxes for Exhibitor’s sales.
    4. Booth Space-Each Exhibitor shall maintain its merchandise only within its leased space
    and shall keep that space in a neat and clean condition. No Exhibitor shall attach any of its
    tables, fixtures or materials to the walls, ceiling, woodwork, or floors in the building. Set-up
    and tear down times will be strictly enforced. Exhibitors agree to have their booth/table open
    during all hours the sales room is open. Exhibitors agree not to begin tear down until after
    show closes on Sunday at 3:00 pm. Assignment of booth space will be at the discretion of the
    Promoter. Exhibitors agree to display at least 85% Transformers, Robots or Transformers
    related items. No Exhibitor is to offer for sale any pornographic material, contraband, stolen
    goods, or items which are illegal to own, possess or sell under federal, state or local law. The
    Promoter reserves the right to order the removal of any item that in its opinion is in bad taste
    or does not conform to these rules and regulations. The Promoter reserves the right to refuse
    any Exhibitor application. The reasons for refusal need not be disclosed to the applicant.
    5. Table Covers-Table covers will be provided to the Exhibitor for the duration of the event.
    It is the responsibility of the Exhibitor to return the table covers to the Promoter at the conclusion
    of the event. All table covers not returned will be charged to the Exhibitor’s Account.
    6. Exhibitor Badges-Each booth comes with two (2) Exhibitor badges. Each table comes
    with one (1) Exhibitor badge. No Exhibitor will be allowed in the Exhibit Hall without a
    valid badge. Badges must be worn at all times.
    7. Fire Regulations-No Smoking is permitted in the Exhibit Hall, Conference Rooms or facilities
    leased by the Promoter. Any table covers provided by Exhibitor must be of fire ******ant
    material. No flammable decorative materials shall be used. No flammable liquids are
    allowed. Nothing is to be displayed on or near any fire hose or extinguishers. All electrical
    equipment must be U.L. approved. No wiring is permitted on the floor across aisles or any
    publically accessible area.
    8. Security-The Promoter will provide security. At the conclusion of each sales day, the
    Exhibit Hall will be locked from the inside. Once the room is closed, only the Promoter will
    be allowed inside the facility. We do recommend that you cover your display area when you
    are leaving for the night. We are not responsible for merchandise missing from any table during
    the show. The Exhibitor is responsible for its merchandise. For theft prevention, please
    issue a receipt for each sale.
    9. Etiquette-Each Exhibitor agrees to comply with pertinent federal, state and local laws and
    ordinances while on the Convention premises. Each Exhibitor is required to treat the
    Convention’s Guests with cordiality and respect, and no Exhibitor shall commit any act of
    assault, battery, abuse or harassment upon another Exhibitor, the Promoter, Staff, or upon the
    Convention’s Guests. The Promoter reserves the right to terminate or revoke any applications,
    or to deny access to or to remove Exhibitors or Convention Guests at any time prior to
    or during the event.
    10. Cancellations-If the event is canceled or terminated for any reason whatsoever, the
    Promoter shall not be responsible to the Exhibitor or Convention Guest for any damages, loss
    or injury occasioned by such cancellation or termination of the show prior to its scheduled
    conclusion date. Exhibitor cancellations must be made thirty days prior to the event to receive
    a refund. A$25 processing fee will be levied on all cancellations and/or returned checks. If said
    cancellation occurs less than thirty days prior to the event, no refund will be given.
    11. Disputes-Exhibitor acknowledges and agrees that the proper forum and venue for any and
    all claims or disputes concerning this Contract is Texas and only the laws of that state are to
    be applied in resolving any such dispute. Exhibitor will reimburse Promoter for any and all
    attorney’s fees, costs and costs of suit incurred by Promoter for matters arising out of
    Exhibitor’s presence at or involvement with the convention.
    12. Promoters absolute limit of liability to Exhibitor in no circumstances shall exceed the
    total amount paid to Promoter by Exhibitor or Exhibitor’s agent(s).
    13. Final Authority-Promoter has final say in all respects. Exhibitor acknowledges that
    he/she/it constitute(s) a separate legal entity from Promoter. Exhibitor is neither an employee,
    subcontractor, or agent of Promoter and is in no way empowered to make arrangements for or
    enter into contracts or agreements on behalf of Promoter.

    from or in connection with the exhibitor’s occupancy and use of the exhibition premises or
    any part thereof or any negligent act, error or omission of the exhibitor or its employees, subcontractors

    agrees to fill out such forms and remit them with payment by the end of the show to the
    Promoter. The collection and payment of sales tax is the sole responsibility of Exhibitor.

    occupancy and use of the exhibition premises or any part thereof or any negligent act, error or

    comes with one (1) Exhibitor badge. No Exhibitor will be allowed in the Exhibit Hall without
    a valid badge. Badges must be worn at all times.
    7. Fire Regulations-No Smoking is permitted in the Exhibit Hall, Ballrooms, Conference
    Rooms or facilities leased by the Promoter. Any table covers provided by Exhibitor must be
    of fire ******ant material. No flammable decorative materials shall be used. No flammable
    liquids are allowed. Nothing is to be displayed on or near any fire hose or extinguishers. All
    electrical equipment must be U.L. approved. No wiring is permitted on the floor across aisles
    or any publicly accessible area.
    8. Security-The Promoter will provide security. At the conclusion of each sales day, the Exhibit
    Hall will be locked from the inside. Once the room is closed, only the Promoter will be
    allowed inside the facility. We do recommend that you cover your display area when you are
    leaving for the night. We are not responsible for merchandise missing from any table during
    the show. The Exhibitor is responsible for its merchandise. For theft prevention, please issue
    a receipt for each sale.
    9. Etiquette-Each Exhibitor agrees to comply with pertinent federal, state and local laws
    and ordinances while on the Convention premises. Each Exhibitor is required to treat the
    Convention’s Guests with cordiality and respect, and no Exhibitor shall commit any act of
    assault, battery, abuse or harassment upon another Exhibitor, the Promoter, Staff, or upon the
    Convention’s Guests. The Promoter reserves the right to terminate or revoke any applications,
    or to deny access to or to remove Exhibitors or Convention Guests at any time prior to or
    during the event.
    10. Cancellations-If the event is canceled or terminated for any reason whatsoever, the
    Promoter shall not be responsible to the Exhibitor or Convention Guest for any damages, loss
    or injury occasioned by such cancellation or termination of the show prior to its scheduled conclusion
    date. Exhibitor cancellations must be made thirty days prior to the event to receive a
    refund. A $25 processing fee will be levied on all cancellations and/or returned checks. If said
    cancellation occurs less than thirty days prior to the event, no refund will be given.
    11. Disputes-Exhibitor acknowledges and agrees that the proper forum and venue for any
    and all claims or disputes concerning this Contract is Texas and only the laws of that state
    are to be applied in resolving any such dispute. Exhibitor will reimburse Promoter for any
    and all attorney’s fees, costs and costs of suit incurred by Promoter for matters arising out of
    Exhibitor’s presence at or involvement with the convention.
    12. Promoters absolute limit of liability to Exhibitor in no circumstances shall exceed the total
    amount paid to Promoter by Exhibitor or Exhibitor’s agent(s).
    13. Final Authority-Promoter has final say in all respects. Exhibitor acknowledges that
    he/she/it constitute(s) a separate legal entity from Promoter. Exhibitor is neither an employee,
    subcontractor, or agent of Promoter and is in no way empowered to make arrangements for or
    enter into contracts or agreements on behalf of Promoter.

    If that wording is the same - big IF there, because we can't see the online version to check that, then it has changed drastically. The closest it comes is 'The promoter reserves the right to order the removal of any item that in its opinion is in bad taste or does not conform to these rules and regulations".

    Thought I wrote here but the wife and I will be in the Wednesday custom class.

    I'm sure there will be ways for the people who have 3rd party/KO stuff for sale during Botcon. It just won't happen during when the exhibit halls are open.

    the way we (megatoyfan) read the new bi-laws, It says your can not sell any 3rd party toys, or ever have them on dispay. Which is not great as we where planning on using the Make toy armor set to help sell the g2 lazer primes that we have in stock. When do have 3rd party item for sale, its one a few peices as its from someone collection that we bought. So its not like we are trying to move 100s of a product.

    I can't imagine that the PDF/paper version would have differed from the online version last year. How could they hold dealers to different standards based upon the format by which they registered.

    Is there even a PDF/fax option this year?

    I have it on good authority that we will be doing one of the Beast Wars Mutants, and the special treat for the class is that it will have the original Animorphs face instead of the robot face. ;)
